1. Acceptance of Terms

By accessing and using the services provided by quantiumboost AG ("we", "our", or "us"), you ("you" or "user") agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and quantiumboost AG, a company registered in Austria with registration number FN492537a.

If you do not agree to these Terms, you must not access or use our website or services. Your continued use of our services constitutes acceptance of any modifications to these Terms.

These Terms apply to all visitors, users, and clients of quantiumboost services, including our website, consultation services, training programmes, and compliance solutions.

2. Description of Services

quantiumboost provides professional food safety compliance solutions for restaurants and food service establishments, including but not limited to:

• HACCP (Hazard Analysis and Critical Control Points) implementation and consultation
• Food safety compliance audits and assessments
• Staff training programmes for food safety and hygiene
• Regulatory compliance documentation and systems
• Temperature monitoring and control systems
• Ongoing compliance support and consultation

Our services are designed to help clients achieve and maintain compliance with Austrian and European Union food safety regulations. All services are provided in accordance with current industry standards and regulatory requirements.

3. User Obligations

When using quantiumboost services, you agree to:

• Provide accurate, complete, and up-to-date information about your business and operations
• Cooperate fully with our consultation and assessment processes
• Implement recommended compliance measures in good faith
• Maintain confidentiality of proprietary methodologies and materials provided by quantiumboost
• Use our services only for lawful purposes and in accordance with applicable regulations
• Pay all fees and charges in accordance with agreed terms

You are responsible for ensuring that your use of our services complies with all applicable laws, regulations, and industry standards in your jurisdiction.

4. Payment Terms

Payment terms for quantiumboost services are as follows:

• All fees are quoted in Euros (EUR) unless otherwise specified
• Payment is due within 30 days of invoice date unless otherwise agreed
• Late payments may incur interest charges as permitted by Austrian law
• All prices are exclusive of VAT, which will be added where applicable
• Refunds are provided only in accordance with our specific refund policy
• Additional charges may apply for services beyond the agreed scope

We reserve the right to suspend services for accounts with overdue payments until all outstanding amounts are settled.

5. Intellectual Property

All content, materials, methodologies, documentation, and intellectual property provided by quantiumboost remain our exclusive property. This includes but is not limited to:

• Compliance checklists, templates, and documentation frameworks
• Training materials, presentations, and educational content
• Proprietary assessment methodologies and tools
• Software, applications, and digital platforms
• Trademarks, logos, and brand materials
• Written reports, recommendations, and consultation materials

You are granted a limited, non-exclusive licence to use our materials solely for the purpose of implementing compliance measures in your business operations. You may not reproduce, distribute, modify, or create derivative works without our express written consent.

Any feedback, suggestions, or improvements you provide regarding our services may be used by quantiumboost without compensation or attribution.

6. Confidentiality

quantiumboost recognises the sensitive nature of business information shared during our consulting relationship. We commit to maintaining strict confidentiality regarding:

• Business operations, procedures, and practices
• Financial information and commercial data
• Compliance challenges and regulatory issues
• Proprietary recipes, formulations, and trade secrets
• Customer information and business relationships

This confidentiality obligation survives termination of our services and does not apply to information that is publicly available or required to be disclosed by law.

7. Limitation of Liability

quantiumboost provides professional consultation and guidance based on current regulations and industry best practices. However, our liability is limited as follows:

• Our total liability shall not exceed the total fees paid for the specific services in question
• We are not liable for indirect, consequential, or punitive damages
• We do not guarantee specific outcomes or regulatory approval
• Clients remain ultimately responsible for their own compliance and operations
• We are not liable for losses resulting from failure to implement recommendations
• Force majeure events are excluded from our liability

While we strive to provide accurate and up-to-date guidance, regulatory requirements may change, and implementation success depends on various factors beyond our control.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or other matters where liability cannot be excluded under applicable law.

8. Professional Standards

quantiumboost maintains high professional standards in all service delivery:

• Services are provided by qualified professionals with relevant expertise
• We stay current with regulatory changes and industry developments
• All recommendations are based on recognised standards and best practices
• We maintain professional indemnity insurance coverage
• Quality assurance processes ensure consistency and accuracy

However, the food service industry involves inherent risks, and compliance is an ongoing responsibility that requires continuous attention and adaptation.

9. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of Austria. Any disputes arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the Austrian courts.

Where applicable, European Union regulations and directives also apply to our services, particularly in matters of food safety, data protection, and consumer rights.

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

10. Termination

Either party may terminate services under the following circumstances:

• By mutual agreement with appropriate notice period
• For material breach of these Terms, with opportunity to cure
• For non-payment of fees after appropriate notice
• If continuation of services becomes impractical or impossible
• Upon completion of agreed project scope

Upon termination:

• All outstanding fees become immediately due and payable
• Confidentiality obligations continue indefinitely
• Licences to use our intellectual property terminate
• We will provide final deliverables for completed work
• Both parties will return confidential materials

Termination does not affect accrued rights and obligations or provisions intended to survive termination.

11. Dispute Resolution

In the event of disputes arising from our services, we encourage resolution through the following process:

1. Direct discussion between the parties to seek amicable resolution
2. Formal mediation through a mutually agreed mediator
3. Arbitration under Austrian arbitration rules, if agreed by both parties
4. Court proceedings in Austrian courts as a last resort

We are committed to fair and professional resolution of any issues that may arise during our business relationship.

12. Changes to Terms

quantiumboost reserves the right to modify these Terms of Service at any time. Changes may be necessary due to:

• Changes in applicable laws and regulations
• Evolution of our service offerings
• Industry best practice developments
• Operational requirements and improvements

We will notify clients of material changes through appropriate channels, including email notification and website posting. Continued use of our services after notification constitutes acceptance of the modified Terms.

For significant changes affecting existing service agreements, we will work with clients to ensure smooth transition and understanding of new requirements.
